What are dividends and when do I receive them?

Dividends are payments made by Owens Corning to you as a stockholder. A dividend is paid on each share, so the amount you receive depends on the number of shares you own and dividend amount declared. To receive the dividend, your name must be on the stock register on the record date.

What is the “Record” date?

The record date determines which stockholders will be entitled to the declared dividend. Persons registered as stockholders on the record date will be paid the declared dividend even if they have already sold all or some of their Owens Corning shares.

What is the “Ex-Dividend” date?

Before announcing each dividend a date is set upon which Owens Corning shares will be sold/purchased without entitlement to the dividend. This date is referred to as the ex-dividend date. The ex-dividend date is normally set for two business days before the record date. If you purchase a share before the ex-dividend date you are entitled to receive the declared dividend. If you purchase a share on its ex-dividend date or after, you will not receive the next dividend payment. The seller gets the dividend. If you sell a share on or after the ex-dividend date, the seller gets the dividend. If you sell a share before the ex-dividend date, the buyer gets the dividend.

The payment of dividends is at the Board’s discretion and dependent on the Corporation’s performance, but the present intention is that dividends will be paid quarterly.

Does Owens Corning offer reinvestment of dividends?

At this time Owens Corning does not offer a dividend reinvestment program.

Why don’t I receive the dividend on the date that the dividend is paid by Owens Corning?

On the date that the dividend is to be paid by Owens Corning, Owens Corning will transfer the aggregate amount of the dividend payment to its transfer agent, EQ Shareowner Services.

Registered holders are paid by check or direct deposit. Dividend checks for registered holders are mailed on the payable date. Direct deposit payments are sent to your chosen bank on the payable date and then your bank credits your account. This process may take 2-3 days.

Beneficial holder dividend funds are wired to the Depository Trust Corporation (DTC) on the payable date. DTC then allocates and deposits the aggregate dividend payment among the various brokerage firms for payment to your individual account. This process may also take 2 or 3 days.

How a dividend is taxed will depend on the stockholder’s territory of residence and specific circumstances.

What is Direct Registration or Book-Entry?

Book entry registration also known as direct registration is an alternative to a paper stock certificate. Book entry registration allows EQ Shareowner Services to maintain your shares on the books of the Corporation electronically. Book entry shares have the same rights and privileges as certificated shares. There are many benefits to book entry registration including:

  • Convenient and secure;
  • Reduces risk, time and cost associated with storing paper stock certificates and replacing lost or stolen
  • Allows for electronic transactions between the transfer agent and your broker; and reduces administrative costs to Owens Corning and its stockholders.

What is "escheatment" and when does it take place?

Escheatment is the process by which abandoned or unclaimed property is transferred to a state, making the state the legal owner of the property. A stock account is deemed abandoned by inactivity due to an incorrect mailing address, un-cashed dividend checks, or no direct contact by the stockholder for a specific period of time. Each state has its own escheatment laws, regarding inactivity or dormancy periods.

To prevent your stock account from being escheated please keep your address current, cash or deposit all dividend checks, vote at the Annual Meeting of Stockholders in April of each year, and respond to due diligence mailings from Owens Corning’s transfer agent, EQ Shareowner Services.

Annual Meeting Stockholder Questions

With the fires in California were any of the OC manufacturing plants affected?

OC facilities were not in the path of the fires and were not impacted.

With the rebuilding after the California fires what increase in product sales are anticipated?

We have not provided an estimate on the potential sales in order to supply the impacted area. Typically, disaster of this nature have a long lead time, with complete rebuilds required.

Has the company donated to any communities affected by the fires where their facilities are located?

Our disaster response supports communities where we have plants and people. In the instance of the California wildfires, while we did not have plants impacted, we did make a donation to the Gary Sinise Foundation for support of the first responders who were actively battling the blaze.
